WIS Advisory Services Terms
Version 1.0 · Effective October 20, 2026
These Terms apply to paid advisory engagements with Warner Innovation Systems LLC. If you are using this website or WIS Blueprint, the document you want is the Terms of Service.
1. Who these terms are between, and what they cover
These Terms govern advisory services provided by Warner Innovation Systems LLC(“WIS”), a Georgia limited liability company, to the client named on the invoice (“Client”). They apply to all WIS advisory services, including Blueprint Jumpstart, Measurement Check, Advisory Sprint, Embedded Engagement, and Workshop & Training.
The invoice defines the engagement. The scope, deliverables, fee and schedule for any particular engagement are those described on the invoice for that engagement. These Terms supply everything else. Where the invoice and these Terms conflict, the invoice governs as to scope, deliverables and fee; these Terms govern as to everything else.
2. Acceptance
Payment of the invoice constitutes acceptance of these Terms in the version named on that invoice.
3. What WIS does — and what it does not
WIS designs the experiment and interprets the result, working alongside the Client’s team.
WIS does not run the Client’s experiment. Physically executing the experimental runs — operating the process, making the parts, gathering the measurements — is the Client’s responsibility. WIS provides the design, the written brief, the review of procedure and risk, and the interpretation of the data the Client produces.
WIS provides services on a professional best-efforts basis, exercising the skill and care reasonably expected of a practitioner in experimental design.
4. What the Client is responsible for
The Client agrees to:
- Complete the pre-work before the engagement begins, where the engagement calls for it.
- Make available the people who actually operate the process under study.
- Provide accurate and complete data, and promptly tell WIS of anything known to affect its reliability.
- Execute the experimental runs, and obtain any internal approvals needed to do so.
- Ensure it has the right to share with WIS all data and materials it provides.
Conclusions drawn from inaccurate or incomplete data are limited by that data. WIS is not responsible for a recommendation that proves wrong because the inputs were wrong.
5. Fees, invoicing and payment
Fees are stated on the invoice and are payable in advance. Services are scheduled only after payment clears.
Payment may be made by card or by ACH direct debit. Payment is treated as received when funds clear, not when a payment is initiated. An ACH debit that is subsequently returned or reversed is treated as never having been received, and any scheduling made in reliance on it may be suspended until payment clears.
Fees are exclusive of any applicable sales or use tax. Where tax applies, it will be shown on the invoice.
6. Scheduling, rescheduling and expiry
Sessions must be used within 90 days of payment. WIS will accommodate reasonable rescheduling requests. Sessions not used within 90 days are forfeited, and no refund is due for them.
Rescheduling requested with at least five (5) working days’ notice will be accommodated where WIS’s calendar allows. Inside five working days, WIS will make reasonable efforts but cannot guarantee a replacement slot within the 90-day window.
7. Cancellation and refunds
(a) Cancellation by the Client more than five (5) working days before the first scheduled session: full refund.
(b) Cancellation by the Client within five (5) working days of the first scheduled session: no refund. WIS accepts a limited number of engagements each month; a session reserved and then cancelled at short notice is a slot that was declined to others and cannot be refilled.
(c) Once the first session has taken place, no refund is due, whether or not the Client attends the remaining sessions. The engagement is not divided evenly across sessions — design work is carried out between them, so a substantial share of the work is complete once the first session has happened.
(d) If WIS cancels or cannot deliver a scheduled session, the Client may choose either to reschedule or to receive a full refund of the amount paid for undelivered sessions. If WIS cannot deliver the engagement at all, the Client receives a full refund.
Refunds are issued to the original payment method.
8. Confidentiality
Each party will keep the other’s confidential information in confidence and use it only for the engagement. Confidential information includes the Client’s processes, data, results, costs and business information, and WIS’s methods, materials and non-public pricing.
This does not apply to information that is public through no fault of the receiving party, was already known to it, is independently developed, or must be disclosed by law.
WIS will not share or publish anything arising from the engagement without the Client’s consent.
These Terms do not require either party to sign a separate non-disclosure agreement. Where a Client requires WIS to sign its own NDA, WIS will review it in good faith.
9. Ownership of data and work product
The Client’s data remains the Client’s. WIS claims no ownership of the Client’s process data, measurements or results.
Deliverables — the design brief, experimental design, standard operating procedure, reports and executive summary prepared for the Client — become the Client’s property on payment in full.
WIS retains ownership of its methods: the underlying experimental-design methodology, the WIS Blueprint software, templates, frameworks and general know-how, including know-how acquired during the engagement. Nothing in these Terms transfers that to the Client, and nothing prevents WIS from using general skill and experience for other clients.
Client data is never sold, and is never used to train machine-learning models.
10. Case studies
WIS may wish to write about an engagement. Publication requires the Client’s separate written consent, given at the time, and consent to one publication is not consent to another.
Consent is not a condition of the engagement, is not assumed, and nothing in these Terms grants WIS a licence to publish.
11. WIS Blueprint Pro bonus
Blueprint Jumpstart includes three months of WIS Blueprint Pro at no charge, beginning when WIS Blueprint Pro launches.
This is a grant that expires, not a subscription. No payment method is required. At the end of the three months the account reverts to WIS Blueprint Free automatically. There is nothing to cancel, nothing is charged, and no renewal occurs.
If WIS Blueprint Pro has not launched, the bonus remains available and begins on launch.
12. No guarantee of outcome
WIS does not guarantee any particular experimental result, business outcome or financial return.
A correctly designed and correctly executed experiment can return an unwelcome answer, or no significant effect at all. That is a valid result and a delivered service, not a failure of the engagement. WIS’s obligation is to design the experiment competently and interpret it honestly.
13. Limitation of liability
To the maximum extent permitted by law, WIS’s total aggregate liability arising out of or relating to an engagement is limited to the fees paid by the Client for that engagement.
Neither party is liable for indirect, incidental, consequential, special or punitive damages, or for lost profits, lost revenue, lost production or business interruption, even if advised of the possibility.
Nothing excludes liability that cannot lawfully be excluded, including fraud.
14. Independent contractor
WIS is an independent contractor. Nothing creates a partnership, joint venture, agency or employment relationship, and neither party may bind the other.
15. Governing law
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-laws rules.
16. Changes to these Terms
WIS may update these Terms. The version in force for an engagement is the version at the address named on the invoice for that engagement, and later changes do not apply retroactively.
Each version is published at its own permanent address, warnerinno.com/engagement-terms/<version>, and the invoice for an engagement names that address. Superseded versions remain published at their own address indefinitely.
17. Contact
